The Business Services Department and Purchasing recommend awarding the contract to the lowest, responsive, and responsible bidder, Cenveo, at $41,100 annually, with an annual increase allowance of up to 5%, or the adjusted Producer Price Index.

This contract was competitively bid but based on the annual contract threshold of $25,000, management administratively approved this contract for Years 1 through 4.

The Mesa Arts Center has been successfully using this hosted solution ticketing system for the past six years. The system provides ticket sales, theatre access management, fund reconciliation and accounting, customer information management, and marketing.
It uses social media for ticket purchases, allows ticket buyers to share content related to a specific event, and provides a distribution channel for online ticketing through Facebook.
The Arts and Culture Department and Purchasing recommend authorizing the renewal with AudienceView Ticketing Corp., at $144,670 annually, based on estimated usage.

The State of Arizona has extended their contract through 6/30/2020 to work on a new contract. As such, the City needs to extend its contract through 6/30/2020.
Information Technology is also requesting an additional six-month extension option, which would be subject to NASPO/State of Arizona and Administrative review and approval, to allow for any transition needed, related to the new contract.

This contract will provide urban lake maintenance including water testing and analysis, mechanical equipment maintenance, and fish management for seven lakes within City boundaries. The urban fisheries and community lakes include Red Mountain Lake, Riverview Lake, Carriage Lane Lake, Dobson Ranch Lake, Greenfield Lake, Eastmark Lake, and Emerald Park Lake.
An evaluation committee recommends awarding the contract to the highest-scored proposal from Aquatic Consulting & Testing, Inc., at $36,228 annually, with an annual increase allowance of up to 5%, or the adjusted Consumer Price Index.

20-0027 Purchase of a Heavy-Duty Construction Truck with Dump Body (Addition) for the Parks, Recreation and Community Facilities Department as requested by the Fleet Services Department (Citywide)
This heavy-duty dump truck is required for cleaning parks, and will be used primarily for Signal Butte Park. It will also be used to clean up debris from the canal and water treatment plant nearby after rain storms.
The Parks, Recreation and Community Facilities and Fleet Services Departments, and Purchasing recommend approving the purchase from the existing contract with Freightliner of Arizona, at $212,687.24, based on estimated requirements. This purchase is funded by the Environmental Compliance Fee.

20-0033 Three-Year Term Contract with Two Years of Renewal Options for Custodial Services - Zones 5, 6, and 7 for the Parks, Recreation and Community Facilities (PRCF) Department (Citywide)
Previously, a single Citywide contract for custodial services had been awarded; however, PRCF has determined that by splitting the City’s buildings into three zones, it allows for better oversight and enforcement of contract terms and conditions for each zone.
A single respondent scored the highest for each zone.
An evaluation committee recommends awarding the contract to the highest-scored proposal from Varsity Contractors, Inc., dba Varsity Facility Services, A KBS Company, at $2,938,800 annually, with an annual increase allowance of up to 5%, or the adjusted Consumer Price Index.

This contract will provide monthly washing of City-owned refuse vehicles by a crew with a mobile washing unit. The vendor furnishes all labor, materials, and equipment necessary to maintain the overall cleanliness of the exterior of City vehicles and equipment covered by this contract.
An evaluation committee recommends awarding the contract to the highest-scored proposal from Ace Mobile Wash, Inc., at $52,000 annually, with an annual increase allowance of up to 5%, or the adjusted Consumer Price Index.

This contract will provide furniture, displays and shelving, security equipment, security supplies, circulation technology solutions equipment and supplies, automated material handling and returns, and other supplies (replacement and addition) for each library branch location.
In fiscal years 2020, 2021, and 2022, the Library Services Department will open and purchase equipment for the Mesa Express Library in a new location, remodel the Children's section of the Main Library, and construct a THINKspot at the Dobson Ranch Library. Additionally, the automated material handling machines at each branch are scheduled to be replaced over the next five years.

This purchase of a Nexray FPX Nano X-Ray Kit is for the Police Department’s existing bomb robot. The new equipment is lightweight and versatile, can scan both small and large items down range, and can be operated from a safe distance. It will replace old, outdated x-ray equipment, for which the manufacturer no longer provides support or parts. The Nexray FPX Nano X-Ray Kit is the standard kit for the bomb squads in the Valley and squads across the country.

Transportation Field Operations will use this mechanical street sweeper to support their asphalt milling, slurry seal, and fog seal operations conducted by the department’s Asphalt Repair and Pavement Preservation work groups. In addition, this sweeper will help Transportation meet the demands of their in-house street maintenance program and comply with Maricopa County dust regulations.

The contract will provide an electronic water leak monitoring system to assist with minimizing water loss and the size of excavations and damage to streets when making water main repairs to underground water infrastructure. This technology allows for on-site monitoring for locating leaks between two points in the distribution system on any size or material of pipe and increases the sensitivity of the location of the leak to within 3 feet. The system will provide up-to-date software to enhance the City’s leak detection program.

The DA, as amended, includes several milestones for permitting and developing the project, which the developer must meet to remain in compliance with the terms of the Development Agreement.
While the developer has continued to move forward with final design and permitting, project funding was not secured until December 2019.
Consequently, the project is not in compliance with several of the DA Compliance Dates.
No business terms are modified by the proposed Fifth Amendment to the DA or the Amended and Restated Lease and License Agreements.
The developer has continued to move the project forward while securing funding and has already begun site preparation and utility relocations.
Given the progress already made on permit submittals, the modified compliance dates have also been simplified to focus on construction commencement and completion.

Purpose and Recommendation
Consider the proposed Fifth Amendment to the Development Agreement, an Amended and Restated Lease Agreement, and an Amended and Restated License Agreement between the City of Mesa and the developer. Staff recommends approval.
Background
City Council approved the original Development Agreement (DA) and License Agreement with 3W Management, LLC in November 2017.
Since that original approval, the DA has been amended four times, the Lease Agreement has been amended once, and the License Agreement has been amended twice. The DA, as amended, includes several milestones for permitting and developing the project, which the developer must meet to remain in compliance with the terms of the Development Agreement.
While the developer has continued to move forward with final design and permitting, project funding was not secured until December 2019.
Consequently, the project is not in compliance with several of the DA Compliance Dates.
With project funding secured and confirmed by City staff, the modified Compliance Dates included in the proposed Fifth Amendment to the DA align with an updated permit and construction schedule.
In addition, the Fifth Amendment to the DA, as well as the Amended and Restated Lease and License Agreements facilitates assignment of the developer responsibilities included in the agreements to The GRID at Mesa, LLC, a new entity consisting of the original developers (Palladium Grid, LLC) and the major investor. No business terms are modified by the proposed Fifth Amendment to the DA or the Amended and Restated Lease and License Agreements.

Discussion
The following table summarizes the proposed modification to the DA compliance dates. Overall, the modified compliance dates represent a delay in project completion of up to one year.
The proposed amendment retains the provision that allows the City Manager, in his sole discretion, to extend any compliance date by 45 days, a maximum of three times. The developer has continued to move the project forward while securing funding and has already begun site preparation and utility relocations.
Given the progress already made on permit submittals, the modified compliance dates have also been simplified to focus on construction commencement and completion.
